Terms and Conditions

1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Noctra Labs UG (haftungsbeschränkt) ("Company", "we", "us", or "our"), concerning your access to and use of the ChainATM platform.

By accessing or using the ChainATM platform, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

2. SERVICE DESCRIPTION

ChainATM is non-custodial software: an AI assistant that helps you operate your own self-custodial crypto wallet using plain language. Through ChainATM you can buy crypto with fiat, swap tokens, send crypto, and sell crypto back to fiat, across multiple blockchains.

ChainATM is not a bank, exchange, broker, or custodian. We never hold your funds and never have access to your private keys or recovery phrase. Fiat purchases and sales, and the identity verification (KYC) they require, are carried out by licensed third-party partners (such as Coinbase). On-chain swaps and transfers are routed through decentralized liquidity (such as LI.FI) and are signed by you with your own wallet. 3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To use certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials. You agree not to disclose your credentials to any third party and to immediately notify us of any unauthorized use of your account. You are solely responsible for any activities or actions that occur under your account.

3.3 Authentication Methods

We use Privy to provide secure authentication. The available methods depend on your platform and may include email or passwordless sign-in, social logins (such as Google and Apple), cryptocurrency wallet connections, and passkeys on supported devices. We do not store passwords or private keys.

You are responsible for maintaining the security of your authentication credentials and any devices used for authentication. We cannot recover lost credentials or private keys, and you may need to create a new account or restore from your own backup if you lose access to your authentication methods or wallet.

4. CREDIT-BASED PRICING AND PAYMENT TERMS

4.1 Credit System

ChainATM uses a credit-based model for access to its software features, such as the AI assistant. Credits are flat and denominated per action. Where a percentage-based routing or service fee applies to a specific transaction type (see Section 6.3), it is always shown in the quote before you confirm — we never charge an undisclosed spread:

  • Welcome credits: new users may receive free credits to try the Service
  • Credit packages: you can obtain additional credits in advance, and where offered, a subscription for expanded usage
  • No expiration: purchased credits do not expire

Credits are prepaid usage of our software. They are personal to your account, non-transferable, and, outside of your statutory rights, not redeemable for money. Credits are not a deposit, not e-money, and not a claim on funds. Your money for buying crypto is handled by our licensed payment partners and never passes to ChainATM.

4.2 Credit Pricing

The current credit packages, any subscription options, and their prices are shown in the app at the point of purchase, in your local currency where applicable. Prices may change at any time, and the price shown to you at the time of purchase is the one that applies.

4.3 Payment Processing

Payments are processed by our payment providers, not by ChainATM directly, and we do not store your full payment card details. Purchases made in our web app are processed by Stripe. Purchases made in our iOS app are processed by Apple through In-App Purchase and are also subject to Apple's terms. By purchasing credits or a subscription, you authorize the relevant provider to charge your chosen payment method.

4.4 Right of Withdrawal (Widerrufsrecht) for EU Consumers

If you are a consumer in the EU, you have a statutory right to withdraw from a purchase of credits or a subscription within 14 days of the purchase, without giving any reason. To exercise this right, send a clear statement of your decision to contact@noctra-labs.com before the 14-day period expires; we will then refund your payment using the original payment method.

Where you expressly request that we begin performance immediately (for example by spending credits within the withdrawal period) and acknowledge that you lose the right of withdrawal once the contract has been fully performed, the right of withdrawal expires upon full performance. If you withdraw after partial performance, you owe an amount proportionate to the credits already used. Purchases made through Apple's In-App Purchase are additionally subject to Apple's own refund process.

4.5 Credit Usage and Refunds

  • Credits are consumed when the agent performs a paid action you request
  • Purchased credits are non-refundable except where a refund is required by law, for example under applicable EU consumer-protection rules; unused credits do not expire
  • If you believe credits were charged in error, contact us and we will review it
  • You can monitor your credit balance in the app

5. REFERRAL PROGRAM

5.1 Program Overview

ChainATM operates a referral program that allows existing users to invite new users and receive benefits. Participation in the referral program is optional and subject to these terms.

5.2 Referral Rewards

Users who successfully refer new customers may receive bonus credits or other benefits as determined by ChainATM. Referral rewards are subject to verification of the referred user's first credit purchase and compliance with our terms.

5.3 Referral Program Rules

  • Referral links must be used legitimately and may not be shared through spam, unsolicited communications, or misleading content
  • Self-referrals or fraudulent referral activities are prohibited and may result in account termination
  • ChainATM reserves the right to modify or terminate the referral program at any time
  • Referral rewards are non-transferable and may not be combined with other promotions unless explicitly stated
  • Bonus credits from referrals are subject to the same terms as purchased credits

6. CRYPTOCURRENCY TRANSACTIONS

6.1 Third-Party Services

Crypto transactions are carried out through licensed and specialist third-party providers, in addition to our Terms and subject to their own terms and conditions. Fiat-to-crypto purchases and crypto-to-fiat sales are processed by licensed partners (such as Coinbase, Transak, and MoonPay), including the identity verification (KYC) those services require. On-chain swaps and transfers are routed through decentralized liquidity (such as LI.FI) and are signed by you with your own wallet. We never take custody of your assets and never execute against our own balance sheet.

6.2 Transaction Risks

Cryptocurrency transactions involve significant risk. The value of cryptocurrencies can fluctuate dramatically, and you may lose your entire investment. We do not guarantee any returns or particular cryptocurrency values.

6.3 Transaction Fees

All cryptocurrency transactions may be subject to fees charged by the cryptocurrency networks and/or our third-party providers. In addition, ChainATM may charge a percentage-based routing or service fee for certain transaction types (for example, swaps or purchases of assets other than USDC and EURC). Purchases of USDC and EURC carry no ChainATM fee. All such fees are separate from our credit-based pricing and are clearly disclosed in the quote before you complete a transaction.

6.4 Regional Restrictions

Cryptocurrency services may not be available in all regions due to regulatory restrictions. You are responsible for complying with your local laws and regulations regarding cryptocurrency transactions.

7. AI ASSISTANCE FEATURES

7.1 AI Assistant

Our platform includes an AI assistant powered by third-party large language models (such as Anthropic's Claude). It is designed to help you operate your wallet and to provide general information about crypto and the Service. The assistant proposes actions based on your instructions; it does not act on its own, and you review, confirm, and sign every action yourself.

7.2 Limitations of AI Advice

The AI assistance feature provides general information only and does not constitute financial, investment, legal, or tax advice. Our AI services utilize advanced language models to provide information, but you should not rely solely on AI-generated content for making investment decisions. Always conduct your own research and consult with qualified professionals before making financial decisions.

7.3 AI Content Limitations

While we strive to provide accurate information through our AI features, we cannot guarantee the accuracy, completeness, or usefulness of any AI-generated content. The AI may occasionally provide incorrect or outdated information.

8. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to use our service to:

  • Violate any applicable law, regulation, or these Terms
  • Engage in unauthorized transactions or fraudulent activities
  • Attempt to access other users' accounts or data
  • Interfere with or disrupt the service or servers
  • Circumvent or manipulate our fee structure or billing process
  • Use our service for money laundering, terrorist financing, or other illegal activities
  • Reverse engineer or attempt to extract the source code of our software

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Our Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Noctra Labs UG (haftungsbeschränkt) and its licensors. The Service is protected by copyright, trademark, and other applicable laws.

9.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service.

10. USER-GENERATED CONTENT

While using our Service, you may provide content, including but not limited to text, links, and other material ("User Content"). You retain ownership of your User Content.

By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with our Service.

11. THIRD-PARTY WEBSITES AND CONTENT

The Service may contain links to third-party websites or services that are not owned or controlled by ChainATM. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

12. TERMINATION

You may stop using the Service and delete your account at any time. We may suspend or terminate your account with reasonable prior notice. We may suspend or terminate immediately and without prior notice only for good cause — for example a serious or repeated breach of these Terms, use of the Service for unlawful purposes, a security risk, or where required by law or regulation. If we terminate without cause attributable to you, we will refund the purchase price of your unused purchased credits.

13. LIMITATION OF LIABILITY

In no event shall Noctra Labs UG (haftungsbeschränkt), its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Cryptocurrency market fluctuations or transaction failures

Nothing in these Terms limits or excludes our liability for intent (Vorsatz) or groß negligence (grobe Fahrlässigkeit), for injury to life, body, or health, under the German Product Liability Act (Produkthaftungsgesetz), or for fraudulent misrepresentation. In the event of a slightly negligent breach of an essential contractual obligation (Kardinalpflicht) — an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely — our liability is limited to the foreseeable damage typical for this type of contract.

Subject to the above, our total liability to you for any claim arising from or relating to these Terms or our Service shall not exceed the amount paid by you to us during the 6-month period preceding the event giving rise to the liability.

14. DISCLAIMER

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results of using the Service will meet your requirements

15. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

16. CHANGES TO TERMS

We may modify or replace these Terms where there is a valid reason to do so, for example changes in law, regulation, or the functionality of the Service. If a revision is material — for example a change affecting pricing, core features, or your rights — we will provide at least 30 days' notice prior to the new terms taking effect, and you may terminate the agreement before they do. Changes do not apply retroactively.

18. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and ChainATM regarding our Service and supersede all prior agreements and understandings, whether written or oral, regarding the Service.
