1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Noctra GmbH ("Company", "we", "us", or "our"), concerning your access to and use of the ChainATM platform.

By accessing or using the ChainATM platform, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

2. SERVICE DESCRIPTION

ChainATM is a cryptocurrency on-ramp application that allows users to purchase cryptocurrencies with fiat currency. Our platform integrates with Coinbase Developer Platform (CDP) to facilitate cryptocurrency transactions. We also provide AI-powered assistance through pre-trained, fine-tuned Large-Language-Models (LLMs) to help users navigate the cryptocurrency landscape.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To use certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials. You agree not to disclose your credentials to any third party and to immediately notify us of any unauthorized use of your account. You are solely responsible for any activities or actions that occur under your account.

3.3 Authentication Methods

Our platform supports multiple authentication methods through Privy, including:

  • Email authentication
  • Social media logins (Google, LinkedIn, GitHub)
  • Cryptocurrency wallet connections
  • Passkey technology for supported devices

You are responsible for maintaining the security of your authentication credentials and any devices used for authentication. We cannot recover lost credentials, and you may need to create a new account if you lose access to your authentication methods.

4. CREDIT-BASED PRICING AND PAYMENT TERMS

4.1 Credit System

ChainATM operates on a pay-as-you-use credit system designed to provide transparent and flexible pricing:

  • Credits: Each transaction consumes 1 credit regardless of transaction amount
  • Credit Packages: Purchase credits in advance through our platform
  • No Expiration: Purchased credits never expire

4.2 Credit Package Pricing

Our credit packages offer volume discounts:

  • Starter Package: 100 credits for €9.99 (€0.10 per credit)
  • Professional Package: 550 credits for €39.99 (€0.073 per credit, includes 50 bonus credits)
  • Business Package: 1400 credits for €89.99 (€0.064 per credit, includes 200 bonus credits)
  • Custom Packages: Available for enterprise customers with higher volume needs

Pricing is subject to change at any time. Volume discounts may vary and are clearly displayed at the time of purchase.

4.3 Payment Processing

All credit purchases are processed securely through Stripe. We do not directly store your payment information. By purchasing credits, you authorize us to charge your chosen payment method for the selected credit package.

4.4 Credit Usage and Refunds

  • Credits are consumed when transactions are initiated
  • Credits are consumed regardless of whether the transaction succeeds or fails, as processing costs are incurred at initiation
  • Credits are non-refundable once purchased, but unused credits never expire
  • You can monitor your credit balance through your account dashboard
  • Low credit balance notifications will be provided to help you manage your account

5. REFERRAL PROGRAM

5.1 Program Overview

ChainATM operates a referral program that allows existing users to invite new users and receive benefits. Participation in the referral program is optional and subject to these terms.

5.2 Referral Rewards

Users who successfully refer new customers may receive bonus credits or other benefits as determined by ChainATM. Referral rewards are subject to verification of the referred user's first credit purchase and compliance with our terms.

5.3 Referral Program Rules

  • Referral links must be used legitimately and may not be shared through spam, unsolicited communications, or misleading content
  • Self-referrals or fraudulent referral activities are prohibited and may result in account termination
  • ChainATM reserves the right to modify or terminate the referral program at any time
  • Referral rewards are non-transferable and may not be combined with other promotions unless explicitly stated
  • Bonus credits from referrals are subject to the same terms as purchased credits

6. CRYPTOCURRENCY TRANSACTIONS

6.1 Third-Party Services

Cryptocurrency purchase transactions are facilitated through Coinbase Developer Platform (CDP). These transactions are subject to the terms and conditions of Coinbase, in addition to our Terms. We integrate with Coinbase's infrastructure to provide secure and reliable cryptocurrency transaction processing.

6.2 Transaction Risks

Cryptocurrency transactions involve significant risk. The value of cryptocurrencies can fluctuate dramatically, and you may lose your entire investment. We do not guarantee any returns or particular cryptocurrency values.

6.3 Transaction Fees

All cryptocurrency transactions may be subject to fees charged by the cryptocurrency networks and/or our third-party providers. These fees are separate from our credit-based pricing and are clearly disclosed before you complete a transaction.

6.4 Regional Restrictions

Cryptocurrency services may not be available in all regions due to regulatory restrictions. You are responsible for complying with your local laws and regulations regarding cryptocurrency transactions.

7. AI ASSISTANCE FEATURES

7.1 Knowledge Base

Our platform includes AI-powered chat functionality using LLMs. This service is designed to provide general information and assistance regarding cryptocurrencies and our platform.

7.2 Limitations of AI Advice

The AI assistance feature provides general information only and does not constitute financial, investment, legal, or tax advice. Our AI services utilize advanced language models to provide information, but you should not rely solely on AI-generated content for making investment decisions. Always conduct your own research and consult with qualified professionals before making financial decisions.

7.3 AI Content Limitations

While we strive to provide accurate information through our AI features, we cannot guarantee the accuracy, completeness, or usefulness of any AI-generated content. The AI may occasionally provide incorrect or outdated information.

8. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to use our service to:

  • Violate any applicable law, regulation, or these Terms
  • Engage in unauthorized transactions or fraudulent activities
  • Attempt to access other users' accounts or data
  • Interfere with or disrupt the service or servers
  • Circumvent or manipulate our fee structure or billing process
  • Use our service for money laundering, terrorist financing, or other illegal activities
  • Reverse engineer or attempt to extract the source code of our software

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Our Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Noctra GmbH and its licensors. The Service is protected by copyright, trademark, and other applicable laws.

9.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service.

10. USER-GENERATED CONTENT

While using our Service, you may provide content, including but not limited to text, links, and other material ("User Content"). You retain ownership of your User Content.

By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with our Service.

11. THIRD-PARTY WEBSITES AND CONTENT

The Service may contain links to third-party websites or services that are not owned or controlled by ChainATM. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

12. TERMINATION

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including, without limitation, if you breach these Terms.

13. LIMITATION OF LIABILITY

In no event shall Noctra GmbH, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Cryptocurrency market fluctuations or transaction failures

Our total liability to you for any claim arising from or relating to these Terms or our Service shall not exceed the amount paid by you to us during the 6-month period preceding the event giving rise to the liability.

14. DISCLAIMER

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results of using the Service will meet your requirements

15. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the Principality of Liechtenstein, without regard to its conflict of law provisions.

16. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
